Where there is a conflict between these Terms and a signed Service Agreement, the Service Agreement will prevail for that engagement.

We do not guarantee specific results, rankings, traffic, leads, conversions, or revenue outcomes from our Services, as these depend on numerous factors outside our control, including but not limited to search engine algorithm changes, platform policy changes, market competition, and Client-provided assets and approvals.

5. Fees and Payment

• Service fees, billing cycles, and payment terms will be specified in the applicable proposal, invoice, or Service Agreement.
• Unless otherwise agreed in writing, invoices are due within the period specified on the invoice; late payments may attract interest or suspension of Services.
• Third-party costs such as advertising spend (e.g., Google Ads, Meta Ads), software subscriptions, licensing fees, or domain/hosting charges are separate from our service fees unless explicitly included in the Service Agreement.
• All fees are exclusive of applicable taxes (including GST) unless stated otherwise.
• Refunds, if any, are governed solely by the terms specified in the applicable Service Agreement.

6. Client Responsibilities

To enable us to deliver Services effectively, the Client agrees to:

• Provide timely access to necessary accounts, platforms, credentials, brand assets, and approvals.
• Ensure that all content, data, and materials supplied to us are accurate, lawful, and do not infringe third-party rights.
• Respond to requests for feedback or approvals within a reasonable time to avoid delays.
• Comply with the terms of service of any third-party platform used in connection with the Services (e.g., Google, Meta, LinkedIn).

7. Intellectual Property Rights

All content on the Website, including text, graphics, logos, images, videos, software, and design (excluding Client-supplied materials), is the property of Magnusistos or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Website without our prior written consent.

Unless otherwise agreed in a Service Agreement, deliverables created specifically for a Client (such as campaign creatives, ad copy, or reports) will transfer to the Client upon full payment of applicable fees. Pre-existing tools, templates, processes, and know-how used by Magnusistos remain our property.
